1. Introduction and Acceptance of Terms

Welcome to WCorporation Ltd ("WCorp", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website at www.wcorporation.org, our certification programmes, consulting services, coaching services, events, digital products, and any other services we offer (collectively, the "Services").

By accessing our website or using any of our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our Services.

These Terms constitute a legally binding agreement between you (or the organisation you represent) and WCorporation Ltd, a company registered in England and Wales.

 

2. About WCorp

WCorporation Ltd is an award-winning organisation dedicated to transforming workplace culture into a measurable competitive advantage. We offer corporate certification programmes, consulting, coaching, events, and resources focused on gender equity, women's leadership, and inclusive workplace cultures.

3. Eligibility

To use our Services, you must:

  • Be at least 18 years of age, or be accessing the Services on behalf of an organisation;
  • Have the legal authority to enter into these Terms on your own behalf or on behalf of your organisation;
  • Not be prohibited from receiving our Services under applicable law.

By using our Services, you represent and warrant that you meet all of the foregoing eligibility requirements.

 

4. Our Services

4.1 Certification Programmes

WCorp offers corporate certification recognising organisations committed to creating equitable, women-friendly workplaces. Certification is subject to a separate Certification Agreement and eligibility criteria outlined during the application process. Certification is valid for a period of two (2) years unless otherwise stated, subject to ongoing compliance with WCorp standards.

4.2 Coaching and Consulting

WCorp provides leadership coaching, consulting, and advisory services. The specific scope, deliverables, fees, and timelines for such services will be agreed upon in a separate engagement agreement or statement of work signed by both parties.

4.3 Events and Programmes

WCorp organises events, workshops, and programmes. Details, including pricing, cancellation policies, and registration requirements, are set out on the relevant event pages at the time of booking.

4.4 Digital Content and Resources

WCorp may provide access to digital content including blog articles, newsletters, reports, videos, and tools. Such content is provided for informational purposes only and does not constitute legal, financial, or professional advice.

4.5 Ambassador Programme

Participation in the WCorp Ambassador Programme is subject to a separate Ambassador Agreement. We reserve the right to accept or decline applications at our sole discretion.

4.6 Investor Database and Green Flag Certification

Access to the Investor Database and Green Flag investor certification is subject to eligibility criteria and, where applicable, a separate agreement with WCorp.

 

5. Purchases and Payments

Where our Services are offered for purchase, the following terms apply:

  • All prices are stated in pounds sterling (GBP) unless otherwise indicated, and are exclusive of VAT unless expressly stated otherwise. VAT will be added where applicable.
  • Payment must be made in full prior to access to Services unless alternative arrangements are agreed in writing.
  • We accept payment via the methods displayed at the point of purchase. All transactions are processed securely through our third-party payment provider(s).
  • All purchases are final unless otherwise stated. Please refer to Section 6 (Cancellations and Refunds) for further detail.
  • WCorp reserves the right to amend its pricing at any time. Any changes will not affect bookings or purchases already confirmed.

 

6. Cancellations and Refunds

Certification Programmes: Cancellation requests must be submitted in writing. Fees paid are non-refundable once the certification process has formally commenced, unless otherwise agreed in writing.

Consulting and Coaching Services: Cancellation terms will be outlined in your individual engagement agreement. Where no specific terms are agreed, a minimum of 14 days' written notice is required.

Events and Workshops: Cancellation requests made more than 14 days before the event date will receive a full refund or credit. Cancellations made within 14 days of the event are non-refundable. Transfers to alternative dates may be offered at WCorp's discretion.

Digital Products: Due to their immediate nature, digital products and downloadable content are non-refundable once access has been granted, unless required by applicable consumer law.

Statutory Rights: Nothing in these Terms affects your statutory rights under applicable consumer protection legislation.

 

7. Intellectual Property

All content on our website and within our Services, including but not limited to text, graphics, logos, images, video content, certification marks, reports, tools, and training materials, is the property of WCorporation Ltd or its licensors and is protected by copyright, trade mark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any of our intellectual property without our prior written consent.

Use of the WCorp certification badge, logo, or trade marks is permitted solely in accordance with a valid certification agreement and our brand guidelines. Unauthorised use is strictly prohibited and may result in legal action.

 

8. User Conduct

When using our Services, you agree not to:

  • Use the Services for any unlawful purpose or in a manner that violates these Terms;
  • Submit false, misleading, or fraudulent information in connection with a certification application or any other process;
  • Impersonate any person or entity or misrepresent your affiliation with any organisation;
  • Interfere with or disrupt the operation of our website or Services;
  • Attempt to gain unauthorised access to any part of our systems or data;
  • Use our Services to transmit unsolicited communications (spam) or any harmful, offensive, or unlawful content;
  • Reverse engineer, decompile, or disassemble any software or technology forming part of our Services.

 

9. Confidentiality

In the course of engaging with WCorp's consulting or certification services, both parties may disclose confidential information. Each party agrees to keep confidential any non-public information received from the other party and to use such information solely for the purpose of the engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

 

10. Disclaimers and Limitation of Liability

10.1 No Professional Advice

The content provided through our website and Services is for informational purposes only. Nothing we publish constitutes legal, financial, HR, or employment advice. You should seek independent professional advice before making any decisions based on our content.

10.2 No Warranty

Our Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, WCorp makes no warranties, express or implied, regarding the accuracy, completeness, reliability, or fitness for a particular purpose of our Services or content.

10.3 Limitation of Liability

To the fullest extent permitted by law, WCorp's total liability to you for any claim arising in connection with these Terms or our Services shall not exceed the amount paid by you to WCorp in the three (3) months preceding the event giving rise to the claim, or £500, whichever is greater.

WCorp shall not be liable for any indirect, incidental, consequential, or punitive damages, loss of profits, loss of data, or loss of business opportunity arising from your use of our Services.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under English law.

 

11. Third-Party Links and Services

Our website may contain links to third-party websites and services. These links are provided for convenience only. WCorp does not endorse, control, or accept responsibility for the content or practices of any third-party sites. Accessing third-party sites is at your own risk.

Our Services may be delivered in part through third-party platforms (such as Kajabi, Zoom, or payment processors). Your use of those platforms is subject to their own terms and privacy policies.

 

12. Termination

WCorp reserves the right to suspend or terminate your access to our Services at any time and without prior notice if you breach these Terms, act fraudulently, or engage in conduct that we reasonably consider harmful to WCorp, its clients, or the public.

You may terminate your engagement with WCorp at any time, subject to any notice requirements in your specific service agreement. Termination does not entitle you to a refund except as set out in Section 6.

 

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We encourage you to contact us in the first instance to resolve any dispute informally. We are committed to addressing concerns promptly and fairly.

 

14. Changes to These Terms

WCorp reserves the right to amend these Terms at any time. Updated Terms will be posted on our website with a revised "Last updated" date. Continued use of our Services following any such amendment constitutes your acceptance of the revised Terms. We recommend reviewing these Terms periodically.
